These Terms and Conditions (“Terms”) govern your access to and use of the SpotSell platform, including our website at www.spotsell.pk, our mobile applications, and all related services (collectively, the “Platform”).
SpotSell is operated by Spazio Pvt. Ltd. (“Spazio”, “SpotSell”, “we”, “us”, or “our”), a company registered in Pakistan.
By registering an account, accessing, or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you are using the Platform on behalf of a business, you represent and warrant that you have the authority to bind that business to these Terms.
The Platform facilitates interactions between different types of users (collectively, “Users”):
3.1 To access core features — such as booking space, listing inventory, or offering vendor services — you must register an account and provide accurate, complete, and current information.
3.2 Site Owners and Vendors must complete our verification (KYC) process, which may require submitting business registration documents, CNIC, NTN, and bank details. We reserve the right to suspend or reject unverified accounts.
3.3 You are responsible for safeguarding your account credentials and for all activity under your account. Notify us immediately of any unauthorised use.
4.1 SpotSell is a marketplace and technology platform that connects Advertisers, Site Owners, Brokers, and Vendors, and provides tools to discover, book, execute, and report on outdoor advertising campaigns.
4.2 SpotSell is not the owner of advertising inventory and is not a party to the underlying advertising or service contracts formed between Users, except where expressly stated. Contracts for advertising space and execution services are entered into between the relevant Users. SpotSell facilitates transactions, including payment, escrow, and dispute support.
4.3 We do not guarantee the conduct, performance, or suitability of any User, listing, or vendor service.
5.1 Site Owners are solely responsible for the accuracy, legality, and currency of their Listings, including ownership or lawful control of the advertising site, GPS coordinates, dimensions, pricing, availability, and photographs.
5.2 Listings are subject to review and approval by SpotSell. We may decline, edit, suspend, or remove any Listing that does not meet our quality standards or that we believe is inaccurate, unlawful, or otherwise inappropriate.
5.3 Site Owners must hold all permits, licences, and approvals required to display outdoor advertising at the listed site under applicable laws and local regulations.
6.1 Advertisers and Brokers may submit booking requests for available dates. A booking is confirmed only upon Site Owner approval and completion of payment as set out in Section 8.
6.2 The campaign-execution workflow may include vendor selection, artwork submission, payment into escrow, design/printing/installation, geo-validated proof of installation, automated settlement, and campaign reporting.
6.3 Advertisers are responsible for ensuring that submitted artwork is lawful, owned or properly licensed, and compliant with applicable advertising standards and regulations.
7.1 SpotSell charges a service fee and/or commission on transactions completed through the Platform. Applicable fees are displayed before you confirm a transaction.
7.2 Pricing for advertising space is set by Site Owners; pricing for execution services is set by Vendors. Final amounts, including the SpotSell service fee, are presented at checkout.
7.3 We may change our fees from time to time. Changes apply to transactions entered into after the change takes effect.
8.1 Payments are processed by our third-party payment processor, Safepay. By transacting, you also agree to Safepay’s terms.
8.2 Upon booking, the Advertiser’s payment is held in escrow. Funds are not released to the Site Owner and Vendor until installation is confirmed through the Platform’s geo-validated proof-of-installation process, at which point the escrow is automatically split and settled, less the SpotSell service fee.
8.3 You authorise SpotSell and its payment processor to collect, hold, split, and disburse funds in accordance with these Terms and the Cancellation/Refund Policy.
Vendors and installers must upload geo-tagged, timestamped photographic and/or video evidence of installation through the Platform. SpotSell may validate this evidence (including the geo-tag against the registered site coordinates) as a condition of settlement.
10.1 Vendors are independent service providers and are solely responsible for the quality, timeliness, and legality of their work.
10.2 Vendors must complete KYC verification, maintain accurate service and coverage information, and perform jobs in accordance with the agreed specifications.
You agree not to:
12.1 The Platform, the SpotSell brand and logo, the “Be seen everywhere” tagline, the software, and the Intelligence Layer (including the Visibility Score and Opportunity Score methodologies) are the exclusive property of Spazio Pvt. Ltd. and are protected by applicable intellectual-property laws. No rights are granted except as expressly set out in these Terms.
12.2 You retain ownership of content you submit (such as artwork and listing photographs) and grant SpotSell a non-exclusive, royalty-free licence to host, display, and use that content as necessary to operate and promote the Platform and complete your transactions.
Metrics produced by the Intelligence Layer — including footfall, impressions, CPM, demographics, Visibility Score, Opportunity Score, and campaign forecasts — are estimates generated from third-party and field-collected data. They are provided for informational purposes only and are not guarantees of actual performance, reach, or results.
The Platform is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or secure.
To the fullest extent permitted by law, Spazio Pvt. Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Platform. Our aggregate liability for any claim relating to a transaction shall not exceed the total SpotSell service fees we received for that transaction.
You agree to indemnify and hold harmless Spazio Pvt. Ltd. and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Platform, your content, or your breach of these Terms or of any applicable law or third-party rights.
Disputes regarding a booking, installation, or service are primarily between the relevant Users. SpotSell provides a dispute-resolution process and, where escrow funds are involved, may review evidence (including proof of installation) and determine release, refund, or split of escrowed funds in accordance with the Cancellation/Refund Policy. Our determination on the release of escrow is final for the purpose of the escrow mechanism, without prejudice to the Users’ other legal rights.
We may suspend or terminate your access to the Platform, with or without notice, if you breach these Terms, if required by law, or to protect the Platform or its Users. You may close your account at any time, subject to completing any open transactions and obligations.
These Terms are governed by the laws of the Islamic Republic of Pakistan. The courts of Lahore, Pakistan shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Platform, subject to any mandatory arbitration the parties may separately agree to.
We may update these Terms from time to time. We will post the updated version with a revised “Last updated” date. Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
